Introduction & Acceptance of Terms

Welcome to Synaptic, an AI-powered productivity platform operated by CyberG7 Technologies LLP ("CyberG7", "we", "us" or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Synaptic website, application, and all related services (collectively, the "Service" or "Platform"). By creating an account or otherwise using the Service, you ("User" or "you") agree to be bound by these Terms, as well as our Privacy Policy (which describes how we handle your data). If you do not agree with any part of these Terms or the Privacy Policy, you must not use the Synaptic platform.

Please read these Terms carefully. They contain important information about your rights and obligations, as well as limitations and exclusions that may apply to you.

1. Eligibility

Minimum Age: You must be at least 18 years old to register for and use Synaptic. If you are 13 or older but under 18, you may use Synaptic only under the supervision of a parent or legal guardian who agrees to be bound by these Terms. Children under 13 are not permitted to use the Service.

Authority: If you are using Synaptic on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, "you" and "your" will refer to the organization.

By using the Service, you represent that you meet the above requirements and are not barred from using the platform under any applicable laws.

2. Account Registration and Security

Account Creation: To access most features of Synaptic, you must create an account with a valid email address and secure password. You agree to provide accurate, current, and complete information during registration and to keep it updated (e.g. if you change your email address).

Account Credentials: You are responsible for maintaining the confidentiality of your account login credentials. Do not share your password or account access with others. You are responsible for all activities that occur under your account.

Unauthorized Access: You must promptly notify us at synaptic@cyberg7.com.sg if you suspect any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

Account Restrictions: You may only create one account for yourself. You may not create accounts by automated means or for others without permission. We reserve the right to suspend or terminate duplicate or fraudulent accounts.

3. Subscription Plans and Payments

Free and Paid Plans: Synaptic may offer a free (or basic) tier with limited features, as well as various paid subscription plans ("Paid Plans") that provide enhanced access and usage limits. The details of available plans (features, limits, and pricing) are described on our website or within the app.

Payment and Billing: If you subscribe to a Paid Plan, you agree to pay all fees indicated for that plan. Payments will be processed via our third-party payment provider (Stripe) in the currency specified. You must provide current, valid payment information. By starting a Paid Plan, you authorize CyberG7 (through Stripe) to charge your provided payment method on a recurring basis (e.g. monthly or annually, depending on the plan).

Auto-Renewal: Paid Plan subscriptions will automatically renew at the end of each billing cycle (e.g. on a monthly or yearly basis) unless you cancel beforehand. Subscription renewal will charge the same payment method on file at the then-current rate for your plan. We will notify you of any price changes or material changes to your plan in advance, in accordance with applicable laws.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting our support team. If you cancel, your Paid Plan will remain active until the end of your current billing period, and it will not renew thereafter. We do not generally provide refunds or credits for partial subscription periods or unused time, except where required by law or explicitly stated otherwise. (For example, if you cancel mid-month, you will retain access to premium features until the end of that month, but you won't receive a refund for the unused portion.)

Upgrades and Downgrades: You may upgrade or downgrade to a different plan tier. If you upgrade, the new billing rate may take effect immediately or at the next billing cycle, depending on our policies (we will inform you of how upgrades are handled at the time of change). Downgrading your plan may result in loss of access to certain features or reduced usage limits; make sure to adjust your usage and backup any data if you plan to downgrade.

Failed Payments: If a payment fails (e.g. due to an expired credit card or insufficient funds), we may attempt to retry the charge. If payment remains unsuccessful, we reserve the right to downgrade or suspend your account for non-payment. You are responsible for updating your payment information promptly to avoid interruption of service.

Taxes: All fees are exclusive of any taxes, levies, or duties imposed by taxing authorities. You are responsible for any such applicable taxes (e.g. sales tax or VAT) in connection with your subscription. If we are required to collect taxes, those will be added to the charges.

4. Acceptable Use and User Conduct

You agree to use Synaptic in a lawful and respectful manner. You will not misuse the Service. In particular, you agree NOT to:

Illegal Activities

Use the platform for any unlawful purpose, or to promote or facilitate illegal activities. This includes not using Synaptic to create or disseminate content that is fraudulent, defamatory, obscene, harassing, threatening, or that promotes violence, terrorism, or any illegal act.

Violation of Rights

Upload, generate, or distribute content that infringes or misappropriates any third party's intellectual property rights, privacy rights, or other personal or proprietary rights. You are responsible for ensuring you have the necessary rights or permissions for any content you input into Synaptic. (For example, do not upload data containing someone else's personal information or copyrighted material without proper consent or authorization.)

Harmful Content

Use the Service to input or generate any malicious code or content (such as viruses, worms, or malware), or engage in activities that could damage, disable, or impair the platform or anyone else's use of it.

Abuse and Interference

Attempt to probe, scan, or test the vulnerability of the Service or any related system, or breach any security or authentication measures. Do not interfere with or disrupt the integrity or performance of the Service or the data contained therein (e.g. no denial-of-service attacks or spamming the APIs to degrade service).

Automated Use

Use any automated system or software (such as bots, scrapers, or scripts) to access or use the Service in violation of our API guidelines. Normal use of Synaptic's own automation features or APIs (if provided) in accordance with our documentation is allowed, but you must not use external automation to circumvent usage limits or perform actions not intended by the platform.

Impersonation and Misrepresentation

Impersonate any person or entity, or falsely state or misrepresent your identity or affiliation with a person or entity in connection with your use of Synaptic. You must not falsely identify the origin of any content generated through the platform (for example, do not present AI-generated content as human-produced in a context intended to deceive).

Circumvention

Attempt to circumvent any content filtering, usage limits, or security measures that we have put in place, or attempt to access areas/features of the Service that you are not authorized to access (such as other users' accounts or non-public parts of the application).

Excessive Use

Utilize the Service in a manner that is abusive or excessively burdensome on our infrastructure. For instance, do not create multiple accounts to bypass free-tier limits or otherwise use the Service in a way that fundamentally exceeds the intent of your plan's allowances.

Third-Party Policy Violations

Use Synaptic in a way that violates any additional terms of our third-party providers which are applicable to the platform's functionality (see Section 6 below). For example, generating content that violates OpenAI's usage policies or any integrated service's acceptable use policy is a violation of these Terms.

We reserve the right to investigate and take appropriate action (including content removal, account suspension or termination, and legal action if necessary) for any suspected violation of this Section or any misuse of the Service.

5. User Content and Intellectual Property

Your Content: You retain ownership of any intellectual property rights in the content that you create, input, or upload to Synaptic ("User Content"). We do not claim ownership over your personal documents, prompts, outputs, or other materials. However, by using the Service, you grant CyberG7 a worldwide, non-exclusive, royalty-free license to use, copy, store, transmit, display, and create derivative works of your User Content solely as needed to operate and maintain the Service. This license enables us to, for example: process your inputs through our AI models and third-party APIs to generate results; display or format your content for you in the app; and store backups to prevent data loss.

AI-Generated Outputs: Synaptic's AI agents will generate content based on your inputs (for example, text responses, images, transcriptions, or other outputs). To the extent permitted by law, we assign to you any rights we may have in the AI-generated output that are derived from your own inputs. This means you may use, reproduce, publish, or share the outputs created for you, subject to these Terms and your compliance with applicable laws or third-party rights. However, you acknowledge that:

  • The quality or originality of AI outputs is not guaranteed. Some outputs may include or resemble content that is publicly available or generic, and therefore may not be wholly unique to you.
  • It is your responsibility to review AI outputs for accuracy and appropriateness before using them. We are not liable for how you choose to use the outputs or any consequences thereof.
  • If AI outputs inadvertently contain third-party content (e.g. copyrighted text or imagery not provided by you), you should use such outputs with caution. You are responsible for ensuring that your use of any output does not infringe any third-party intellectual property or other rights.

Company Intellectual Property: All rights, title, and interest in and to the Synaptic Service (including its software, code, algorithms, models, website design, trademarks, and our provided content) are and will remain the exclusive property of CyberG7 and its licensors. These Terms do not grant you any ownership of or license to our intellectual property, except for the limited right to use the Service for its intended purpose in accordance with these Terms. You must not duplicate, distribute, modify, create derivative works from, or reverse engineer any part of the Service unless expressly authorized by us.

Feedback: If you provide any suggestions, ideas, enhancement requests, or other feedback regarding Synaptic ("Feedback"), you acknowledge that such Feedback is given voluntarily and that we are free to use, disclose, and exploit it without any restriction or compensation to you. Providing Feedback does not grant you any proprietary rights in the Service, even if we implement your suggestions.

Content Removal: We do not routinely monitor private User Content stored on Synaptic, but we reserve the right to remove or disable access to any User Content if we determine, in our discretion, that it violates these Terms or applicable law, or if we receive a credible takedown notice (such as a DMCA copyright infringement claim). We will notify you if we take such action, provided it is lawful and practical to do so.

6. Third-Party Services and APIs

Synaptic integrates with several third-party services to provide specialized functionality (collectively, "Third-Party Services"). By using Synaptic, you acknowledge and agree to the following:

Use of Third-Party Services

Key features of Synaptic (such as natural language responses, image generation, voice synthesis, and speech recognition) are powered by external providers including OpenAI, Anthropic, Replicate, Astria, Eleven Labs, Deepgram, among others. Additionally, our platform is hosted and operates using services like Google Cloud Platform and Supabase, and payments are handled by Stripe. These Third-Party Services are critical to delivering Synaptic's functionality.

Data Sharing

When you use certain features, we will share the necessary portions of your data with the relevant Third-Party Service. For example, if you ask an AI agent a question, the text of your prompt (and relevant context) will be sent to an AI provider (like OpenAI or Anthropic) to generate a response. If you use an image generation tool, your prompt and/or reference image will be sent to the image generation service, and so on. We only share what is required to fulfill your requests, and such data sharing is governed by our Privacy Policy.

Third-Party Terms

Each Third-Party Service has its own terms of service and usage policies. By using Synaptic, you also agree to abide by the applicable policies of these providers. For instance:

  • Using the OpenAI-powered features means you must comply with OpenAI's usage policies (e.g. not generating disallowed content).
  • Payments via Stripe are subject to Stripe's terms and privacy practices.

We expect users to respect the terms of our providers; if you violate any of their rules (for example, by attempting to use an AI service for illicit purposes), it constitutes a violation of our Terms as well.

No Warranty by Third Parties

CyberG7 is not responsible for services and outputs provided by Third-Party Services. While we carefully select and integrate these providers, we have no direct control over their performance or reliability. You agree that we shall not be liable for any errors, inaccuracies, or outages caused by third-party providers. However, if a third-party service failure seriously affects your experience, please notify us and we will work to address the issue (e.g. by liaising with the provider or switching to an alternative, if feasible).

Changes to Integrations

We may add, remove, or replace Third-Party Services over time as the platform evolves. We will update our documentation or notify users if such changes significantly affect the user experience or data handling. Your continued use of Synaptic after any integration change constitutes acceptance of the new providers.

7. Disclaimers of Warranties

Use at Your Own Risk: The Synaptic platform and all content or services provided through it are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied.

No Guarantee of Accuracy or Outcomes: CyberG7 does not warrant that the results, outputs, or information obtained through Synaptic (especially AI-generated content) will be accurate, reliable, correct, secure, or suitable for your purposes. You understand that AI-generated responses may occasionally be incorrect, misleading, offensive, or otherwise problematic. You use the information obtained from Synaptic at your own discretion and risk.

Service Availability: We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. There may be delays, omissions, or outages in service. Any material or data downloaded or otherwise obtained through Synaptic is at your own risk, and you will be solely responsible for any damage to your device or loss of data that results.

Fitness for Purpose: We disclaim any and all warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that the Service will meet your requirements or expectations. Synaptic's offerings are experimental in nature and continuously evolving.

Security: While we strive to protect your data (as described in our Privacy Policy), we make no warranty that the Service will be free from viruses, malware, or other harmful components, or that any security vulnerabilities will be identified or remedied.

Third-Party Content: Any third-party content or services (including Third-Party Services or links to external websites) accessible through Synaptic are provided for convenience and information only. We do not endorse and are not responsible for any third-party content, and your interactions with third-party services are at your own risk.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you. In such cases, the scope and duration of any such warranty will be the minimum permitted under applicable law.

8. Limitation of Liability

To the maximum extent permitted by applicable law, CyberG7 and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for:

Indirect Damages

Any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, business, goodwill, opportunity, or data, arising out of or in connection with your use of (or inability to use) Synaptic or any content obtained through the Service. This limitation applies whether the claim is based in contract, tort (including negligence), strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

Limitation on Direct Damages

In no event shall our total cumulative liability to you for any direct damages, losses, or causes of action arising out of or relating to these Terms or the Service exceed the amount (if any) that you have paid to us for the Service in the twelve (12) months immediately prior to the event giving rise to the liability. If you have not paid any amount, our liability shall be limited to fifty U.S. dollars (USD $50.00).

Basis of Bargain

You acknowledge that we have entered into this agreement and provide access to the Service in reliance on the disclaimers and limitations of liability set forth herein, which reflect an allocation of risk between the parties and form an essential basis of the bargain.

Exceptions

Nothing in these Terms shall limit or exclude liability for gross negligence, willful misconduct, fraud, or personal injury/death caused by our negligence, or any other liability that cannot be limited or excluded under applicable law.

Because some jurisdictions do not allow the exclusion or limitation of certain damages, in such jurisdictions our liability will be limited to the fullest extent permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless CyberG7 Technologies LLP, its parent company, subsidiaries, affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your violation of these Terms or any policies referenced herein (such as the Privacy Policy or acceptable use guidelines);
  • Your use or misuse of the Synaptic platform (including any content you generate, upload, or obtain through the Service);
  • Your infringement or violation of any intellectual property, privacy, or other rights of any person or entity in connection with your use of Synaptic;
  • Any dispute or issue between you and any third party (including other users, providers of Third-Party Services, or other entities) that arises from your use of the Service.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In that event, you agree to cooperate with our defense of such claim and you shall not settle any such matter without our prior written consent. This indemnification obligation will survive any termination of your account or of the Service.

10. Suspension and Termination

By Us (Suspension or Termination): We may suspend or terminate your access to Synaptic (in whole or in part) immediately, without prior notice, if we reasonably determine that: (a) you have violated these Terms (or any related policies), (b) your use of the Service poses a security risk to us or others, or could subject us or others to liability, (c) you are using the Service for fraudulent or illegal activities, or (d) you fail to pay any fees owed for a Paid Plan. We will make a good-faith effort to notify you of the reason for suspension or termination, unless we are legally prohibited from doing so or if immediate action is required to prevent harm.

By You (Termination): You may stop using Synaptic at any time. You may also delete your account by following the instructions in the account settings or by contacting us. If you choose to delete your account, you will lose access to any data or content associated with it (unless you have exported it beforehand).

Effect of Termination: Upon any termination of your account, whether by you or us, your right to use the Service will cease. We will handle your data in accordance with our Privacy Policy (for example, deleting or retaining it as described therein). If your access is terminated due to a breach of these Terms, we reserve the right to delete your content or data from our active systems, and you may not be entitled to any refund of fees paid.

Survival: The provisions of these Terms that by their nature should survive termination (such as provisions relating to intellectual property ownership, indemnities, disclaimers of warranty, limitations of liability, and governing law) shall survive any termination of your use of the Service.

11. Governing Law and Dispute Resolution

Governing Law: These Terms and any dispute or claim arising out of or in connection with these Terms or the use of the Service shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

Jurisdiction: You agree that any legal action or proceeding arising under or relating to these Terms or the Synaptic Service shall be brought exclusively in the courts of Singapore. You consent to the personal jurisdiction of such courts and waive any objection on grounds of venue or inconvenient forum.

International Use: We make no representation that the Service is appropriate or available in all locations. If you choose to access or use Synaptic from jurisdictions outside of Singapore, you do so at your own initiative and are responsible for compliance with any local laws. Notwithstanding the governing law stated above, you may have certain mandatory rights or remedies as a consumer under local law in your jurisdiction; these Terms are not intended to limit such statutory rights that cannot be waived.

Dispute Resolution: In the event of any dispute or claim between you and CyberG7 arising out of your use of Synaptic, we strongly encourage you to contact us first to seek an amicable resolution. Many concerns can be resolved quickly and to the user's satisfaction by contacting our support team.

12. Changes to the Terms

We may revise or update these Terms from time to time. If we make material changes, we will provide notice to you in a manner commensurate with the significance of the changes (for example, by sending an email to the address associated with your account or by posting a notice within the Synaptic app or website). The "Last updated" date at the top indicates when the latest modifications were made.

Unless we state otherwise, modifications will be effective 14 days after posting. In some cases (for example, to comply with legal requirements or for changes that do not reduce your rights), updates might be effective immediately upon posting.

If you do not agree to the revised Terms, you should stop using Synaptic and may cancel your account before the new Terms take effect. Your continued use of Synaptic after the effective date of any updated Terms constitutes your acceptance of the changes.

13. Miscellaneous

Entire Agreement: These Terms (along with the Privacy Policy and any additional guidelines or terms we provide for specific features) constitute the entire agreement between you and CyberG7 regarding the Synaptic Service, and supersede all prior and contemporaneous agreements, proposals, or communications (whether oral or written) relating to the subject matter hereof.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms shall not operate as a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of CyberG7.

Assignment: You may not assign or transfer these Terms (or any of your rights or obligations hereunder) without our prior written consent. We may assign or transfer our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, restructuring, or sale of assets, or by operation of law or otherwise. These Terms shall bind and inure to the benefit of the parties, their successors, and permitted assigns.

No Third-Party Beneficiaries: These Terms do not confer any rights or remedies on any person or entity other than you and CyberG7, and no third party shall have the right to enforce any provision of these Terms.

Force Majeure: CyberG7 shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, riots, labor disputes, internet or utility failures, supply shortages, or any other force majeure event.
